Conditions of a valid sale

The ruling in short

Allah says: do not consume one another's wealth unjustly, but only through trade by mutual consent (4:29). A sale needs the agreement of both parties, a lawful thing that is owned by the seller, a known price and a known item. The Prophet ﷺ said that the two parties of a sale have the option as long as they have not separated.

1The conditions

  • Mutual consent of both parties, free of force and cheating.
  • The seller owns the item and is able to deliver it. The Prophet ﷺ said: do not sell what is not with you.
  • The item and the price are known, and the item is lawful and useful.
  • The terms are clear, so that there is no gharar (excessive uncertainty).

2Options and defects

  • The option of the session (khiyar al-majlis): both parties can cancel as long as they are together, in the hadith. The Hanafi and Maliki schools do not take this literally and say the contract is binding on the agreement.
  • The option of defect: a buyer who finds a hidden defect may return the item or keep it with compensation.
  • Honest description: the seller must state faults he knows of. Hiding them is cheating.

3Conditions in contracts

  • Muslims are bound by their conditions, except a condition that makes the lawful unlawful or the unlawful lawful (Abu Dawud, graded hasan sahih by many).
  • There is to be neither harm nor reciprocating harm (Ibn Majah). This is a general rule of fiqh.

Where the schools differ

The four Sunni schools agree on the main ruling above and differ in these points. No school is preferred here.

  • The option of the session. the Shafi'i and Hanbali schools apply the hadith literally, and the Hanafi and Maliki schools hold that the contract is binding as soon as the offer and acceptance are made.

يَٰٓأَيُّهَا ٱلَّذِينَ ءَامَنُوا۟ لَا تَأْكُلُوٓا۟ أَمْوَٰلَكُم بَيْنَكُم بِٱلْبَٰطِلِ إِلَّآ أَن تَكُونَ تِجَٰرَةً عَن تَرَاضٍۢ مِّنكُمْ ۚ وَلَا تَقْتُلُوٓا۟ أَنفُسَكُمْ ۚ إِنَّ ٱللَّهَ كَانَ بِكُمْ رَحِيمًۭا ﴿٢٩﴾

Wahai orang-orang yang beriman, janganlah kamu makan (gunakan) harta-harta kamu sesama kamu dengan jalan yang salah (tipu, judi dan sebagainya), kecuali dengan jalan perniagaan yang dilakukan secara suka sama suka di antara kamu, dan janganlah kamu berbunuh-bunuhan sesama sendiri. Sesungguhnya Allah sentiasa Mengasihani kamu.

يَٰٓأَيُّهَا ٱلَّذِينَ ءَامَنُوٓا۟ إِذَا تَدَايَنتُم بِدَيْنٍ إِلَىٰٓ أَجَلٍۢ مُّسَمًّۭى فَٱكْتُبُوهُ ۚ وَلْيَكْتُب بَّيْنَكُمْ كَاتِبٌۢ بِٱلْعَدْلِ ۚ وَلَا يَأْبَ كَاتِبٌ أَن يَكْتُبَ كَمَا عَلَّمَهُ ٱللَّهُ ۚ فَلْيَكْتُبْ وَلْيُمْلِلِ ٱلَّذِى عَلَيْهِ ٱلْحَقُّ وَلْيَتَّقِ ٱللَّهَ رَبَّهُۥ وَلَا يَبْخَسْ مِنْهُ شَيْـًۭٔا ۚ فَإِن كَانَ ٱلَّذِى عَلَيْهِ ٱلْحَقُّ سَفِيهًا أَوْ ضَعِيفًا أَوْ لَا يَسْتَطِيعُ أَن يُمِلَّ هُوَ فَلْيُمْلِلْ وَلِيُّهُۥ بِٱلْعَدْلِ ۚ وَٱسْتَشْهِدُوا۟ شَهِيدَيْنِ مِن رِّجَالِكُمْ ۖ فَإِن لَّمْ يَكُونَا رَجُلَيْنِ فَرَجُلٌۭ وَٱمْرَأَتَانِ مِمَّن تَرْضَوْنَ مِنَ ٱلشُّهَدَآءِ أَن تَضِلَّ إِحْدَىٰهُمَا فَتُذَكِّرَ إِحْدَىٰهُمَا ٱلْأُخْرَىٰ ۚ وَلَا يَأْبَ ٱلشُّهَدَآءُ إِذَا مَا دُعُوا۟ ۚ وَلَا تَسْـَٔمُوٓا۟ أَن تَكْتُبُوهُ صَغِيرًا أَوْ كَبِيرًا إِلَىٰٓ أَجَلِهِۦ ۚ ذَٰلِكُمْ أَقْسَطُ عِندَ ٱللَّهِ وَأَقْوَمُ لِلشَّهَٰدَةِ وَأَدْنَىٰٓ أَلَّا تَرْتَابُوٓا۟ ۖ إِلَّآ أَن تَكُونَ تِجَٰرَةً حَاضِرَةًۭ تُدِيرُونَهَا بَيْنَكُمْ فَلَيْسَ عَلَيْكُمْ جُنَاحٌ أَلَّا تَكْتُبُوهَا ۗ وَأَشْهِدُوٓا۟ إِذَا تَبَايَعْتُمْ ۚ وَلَا يُضَآرَّ كَاتِبٌۭ وَلَا شَهِيدٌۭ ۚ وَإِن تَفْعَلُوا۟ فَإِنَّهُۥ فُسُوقٌۢ بِكُمْ ۗ وَٱتَّقُوا۟ ٱللَّهَ ۖ وَيُعَلِّمُكُمُ ٱللَّهُ ۗ وَٱللَّهُ بِكُلِّ شَىْءٍ عَلِيمٌۭ ﴿٢٨٢﴾

Wahai orang-orang yang beriman! Apabila kamu menjalankan sesuatu urusan dengan hutang piutang yang diberi tempoh hingga ke suatu masa yang tertentu maka hendaklah kamu menulis (hutang dan masa bayarannya) itu dan hendaklah seorang penulis di antara kamu menulisnya dengan adil (benar) dan janganlah seseorang penulis enggan menulis sebagaimana Allah telah mengajarkannya. Oleh itu, hendaklah ia menulis dan hendaklah orang yang berhutang itu merencanakan (isi surat hutang itu dengan jelas). Dan hendaklah ia bertaqwa kepada Allah Tuhannya, dan janganlah ia mengurangkan sesuatu pun dari hutang itu. Kemudian jika orang yang berhutang itu bodoh atau lemah atau ia sendiri tidak dapat hendak merencanakan (isi itu), maka hendaklah direncanakan oleh walinya dengan adil benar); dan hendaklah kamu mengadakan dua orang saksi lelaki dari kalangan kamu. Kemudian kalau tidak ada saksi dua orang lelaki, maka bolehlah, seorang lelaki dan dua orang perempuan dari orang-orang yang kamu setujui menjadi saksi, supaya jika yang seorang lupa dari saksi-saksi perempuan yang berdua itu maka dapat diingatkan oleh yang seorang lagi. Dan jangan saksi-saksi itu enggan apabila mereka dipanggil menjadi saksi. Dan janganlah kamu jemu menulis perkara hutang yang bertempoh masanya itu, sama ada kecil atau besar jumlahnya. Yang demikian itu, lebih adil di sisi Allah dan lebih membetulkan (menguatkan) keterangan saksi, dan juga lebih hampir kepada tidak menimbulkan keraguan kamu. Kecuali perkara itu mengenai perniagaan tunai yang kamu edarkan sesama sendiri, maka tiadalah salah jika kamu tidak menulisnya. Dan adakanlah saksi apabila kamu berjual-beli. Dan janganlah mana-mana jurutulis dan saksi itu disusahkan. Dan kalau kamu melakukan (apa yang dilarang itu), maka sesungguhnya yang demikian adalah perbuatan fasik (derhaka) yang ada pada kamu. Oleh itu hendaklah kamu bertaqwa kepada Allah; dan (ingatlah), Allah (dengan keterangan ini) mengajar kamu; dan Allah sentiasa Mengetahui akan tiap-tiap sesuatu.

حَدَّثَنَا صَدَقَةُ، أَخْبَرَنَا عَبْدُ الْوَهَّابِ، قَالَ سَمِعْتُ يَحْيَى، قَالَ سَمِعْتُ نَافِعًا، عَنِ ابْنِ عُمَرَ، رضى الله عنهما عَنِ النَّبِيِّ صلى الله عليه وسلم قَالَ ‏ "‏ إِنَّ الْمُتَبَايِعَيْنِ بِالْخِيَارِ فِي بَيْعِهِمَا، مَا لَمْ يَتَفَرَّقَا، أَوْ يَكُونُ الْبَيْعُ خِيَارًا ‏"‏‏.‏ قَالَ نَافِعٌ وَكَانَ ابْنُ عُمَرَ إِذَا اشْتَرَى شَيْئًا يُعْجِبُهُ فَارَقَ صَاحِبَهُ‏.‏
